Terms & Conditions
Make sure you read through these terms and conditions carefully before signing up to the Viral Ad Network. By participating in the Viral Ad Network as a Publisher, you are accepting these terms and conditions entirely. If you do not accept these terms and conditions, you SHOULD not participate, or attempt to participate in the Viral Ad Network.
Program participation
- Participation in the publisher network is subject to approval from the Viral Ad Network upon your application
- It is also subject to your continued compliance with the terms and conditions found at http://www.viraladnetwork.net/termsandconditions. The Viral Ad Network has the right to update these at any time, but will let all publishers know as they are changed.
- The Viral Ad Network reserves the right to refuse you participation as an applicant or participant at any time. This will be at the sole discretion of the Viral Ad Network.
- If you are signing up an additional site as a publisher, you must let us know that you are already a publisher.
Ad Unit guidelines
- The Viral Ad Network will have full control over the content of Ad Units.
- You, the publisher must, allow full operation of the Ad Units. This includes but is not exclusive to: links, tracking, and display functions.
- The Viral Ad Network will only place content that it has approved into the Ad Units. This can be images, videos or games in Fun Units, or images and text in Fun Links.
- The Viral Ad Network will make every effort to only supply content that is appropriate to the viewers of the site.
- You can choose the format of the Ad Unit from those listed on http://www.viraladnetwork.net/publishers/ad-units
- You must not alter the embed code or alter the Ad Units in any way other than the colour configurations offered on http://www.viraladnetwork.net/publishers/ad-units unless explicitly agreed
Site guidelines

You, the publisher should, where possible, put the Viral Ad Network’s content in an appropriate area of your site.

Your site must not:
-
contain illegal activity
-
contain content that promotes illegal activity
-
contain content that infringes on the rights of others
-
contain software that redirects viewers to another site or page against their will
-
redirect the viewer to a fraudulent page, or a page or site which does not conform with these guidelines
-
Inappropriate content on sites will lead to the publisher being considered unsuitable, and their contract(s) terminated.

It is at the Viral Ad Network’s discretion as to the suitability of an individual site, and the types of sites accepted.
Clicks/actions

The Viral Ad Network will pay you, the publisher, depending on the number of valid viewer actions that are measured by the Viral Ad Network.

The definition of a viewer action can vary from campaign to campaign. This includes, but is not exclusive to: video plays and game plays. NOTE - AN IMPRESSION DOES NOT COUNT AS AN ACTION

For campaigns that are geo-targeted you, the publisher, will only be paid full price for viewers’ actions that are from the targeted country (countries).

The Viral Ad Network’s definition of a viewer action is final and will be the only one considered.
Prohibited Use
-
You, the publisher, shall not and shall not authorise any third party to:
-
generate invalid viewer actions through deceptive or fraudulent methods, including (but not limited to):
-
Writing or employing software to interact with an ad on the user's behalf, or to simulate users' interactions with an ad
-
Automating interactions with an ad in any other means (including redirects and pop-ups)
-
Installing software on a user's machine to perform any such method, or otherwise generate actions
-
Generating repeated manual clicks
-
Obscuring or modifying the full display of any ad unit
-
Placing an ad in a misleading fashion, or with a misleading description
-
alter the Ad Units or their content in any way other than those specified in the Ad Unit guidelines
-
engage in actions that reflect badly on VAN
-
where applicable, redirect user away from advertiser's pages, or display a modified version of the advertiser's site to users
-
try and sign up for a new agreement after contract termination, unless you, the publisher, terminated the contract out of choice
-
purposely source traffic to a site containing VAN ads from any site which does not fit within our Site Guidelines
Termination/Cancellation

The Viral Ad Network has the right to terminate the agreement at any time. In this case we will pay the appropriate monies owed in keeping with regular payment scheduling.

You, the publisher, have the right to terminate the agreement with, or without cause at any time. To do this, your termination of agreement must be sent to publishers@viraladnetwork.net and will be employed 10 working days after receipt of the email. In this case, the Viral Ad Network will pay the remaining balance owed within 3 months of termination.

In the case of agreement termination, you must still participate in the sections of the agreement regarding confidentiality and must not use any content in a way that the Viral Ad Network considers damaging to the Network or the advertisers.
Confidentiality

You, the publisher, agree not to disclose confidential information regarding the Viral Ad Network. This includes the Viral Ad Network’s system for reporting campaign success for your site.

The Viral Ad Network has the rights to include your site name, logo, etc. in publicity, internal documents and creative pitching if required.
- The Viral Ad Network may share non-personally-identifiable information about you, including site urls, statistics, and similar information with third parties including advertisers.

The Viral Ad Network will not disclose your non-site-related personal details to any third parties without your explicit written permission.
-
This confidentiality agreement doesn’t include information that may be gained from a reasonable other source, or information that is required by law.
No Guarantee

The Viral Ad Network does not guarantee any number of actions for an Ad Unit, the timing of delivery, or the amount of payment to be made to you, the publisher, under this agreement.

The Viral Ad Network is not responsible if a unit does not function the whole time, and is not responsible for any down time caused by:

Any network failures;
-
Failures of your equipment;
-
Maintenance to the Viral Ad Network;
-
Objects outside the Viral Ad Network’s control (such as fires, strikes, interruptions to your internet service, etc.).
Limitations of Liability

Limitations of Liability; Force Majeure

Excluding the indemnification and confidentiality obligations under terms and conditions, neither party will have any liability for any failure or delay of services from any conditions beyond reasonable control.

If you, the publisher, are considered to break this agreement then the Viral Ad Network has the right to seek appropriate damages, and the agreement will be terminated
-
If you, the publisher, act inappropriately after this agreement has been terminated, the Viral Ad Network reserves the right to seek appropriate damages.
Payment
-
Payment shall be made for each viewer action recorded by the Viral Ad Network, depending on the Viral Ad Network’s definition for that campaign. However, payment will only be made if you, the publisher, have an outstanding balance of over £50 (sterling) at the end of a month. Payments are made on the 3rd Tuesday of the month, although the Viral Ad Network has the right to alter this at our discretion.

Payment shall be made every month, for the previous month’s actions.

The Viral Ad Network shall not be liable for payment for any actions that the Viral Ad Network deems, or has previously deemed to be invalid, or achieved through deceptive or fraudulent means.

If on occasion, there is an over payment, you must report it to the Viral Ad Network upon discovery. A mutual agreement will be reached as to repayment of the extra funds.

If on occasion, there is an under payment, you must report it to the Viral Ad Network upon discovery. A mutual agreement will be reached as to the payment of the extra funds.

It is up you, the publisher, to ensure that appropriate tax is paid on your earnings. The Viral Ad Network takes no responsibility for the tax payments of publishers.

Where you, the publisher, have cancelled the agreement, remaining funds will be paid as scheduled. However, if you, the publisher has broken the agreement in any way, the Viral Ad Network holds the right to withhold any payments owed and where necessary seek full returns of previous payments.
